TERMS & CONDITIONS

1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of the GrubIQ platform, applications, and services (“Services”). By using the Services, you agree to these Terms.
If you are using the Services on behalf of an employer, you represent that you are authorized to accept these Terms on their behalf.
2. Description of Services
GrubIQ provides AI-powered tools for restaurant operations, including:
- Operational insights and automation
- Scheduling optimization
- Structured analytics from integrated systems
- Performance dashboards
- Training, messaging, and team enablement tools
Functionality may evolve over time.
3. User Accounts
Users must:
- Provide accurate information
- Maintain confidentiality of login credentials
- Comply with employer policies regarding system usage
We reserve the right to suspend or terminate accounts for misuse.
4. Customer Data
4.1 Ownership
Customers retain all rights to data they provide or connect to the platform (“Customer Data”).
4.2 Our License to Use Customer Data
You grant GrubIQ a limited, non-exclusive, worldwide license to process Customer Data solely to provide the Services, including:
- AI analysis
- Predictions and recommendations
- Maintenance, security, and improvement
We may use anonymized and aggregated data for benchmarking, research, and product enhancement.
5. Acceptable Use
Users may not:
- Attempt to access systems without authorization
- Reverse engineer, modify, or copy the platform
- Use the system for unlawful purposes
- Interfere with performance or security
- Upload malicious content
GrubIQ may enforce restrictions to maintain security and performance.
6. Integrations with Third-Party Systems
By enabling integrations (e.g., POS, scheduling, inventory, sensors), the customer authorizes GrubIQ to:
- Access and process relevant operational data
- Generate structured insights and analytics
- Maintain connectivity for service continuity
We are not responsible for failures caused by third-party systems.
7. Intellectual Property
All intellectual property in the Services—including software, algorithms, analytics models, AI capabilities, and content—is owned by GrubIQ and its licensors.
No IP rights are transferred to the user except as explicitly stated.
8. Confidentiality
Both parties agree to protect confidential information, including:
- Operational data
- Business strategies
- System configurations
- Proprietary algorithms and workflows
Standard NDA obligations apply.
9. Service Availability
We use commercially reasonable efforts to maintain uptime and availability. Planned maintenance or unavoidable outages may occur. GrubIQ is not liable for disruptions caused by:
- Internet failures
- Third-party integrations
- Customer misconfigurations
- Force majeure events
10. Disclaimers
The Services are provided “as is.” No warranty is given regarding:
- Achieving specific business results
- Error-free or uninterrupted operation
- Accuracy of predictions or recommendations
11. Limitation of Liability
To the maximum extent permitted by law:
- GrubIQ’s liability is limited to the fees paid in the preceding 12 months
- GrubIQ is not responsible for indirect, incidental, or consequential damages
- Customers are responsible for operational decisions informed by the platform
12. Termination
We may suspend or terminate access to the Services for:
- Policy violations
- Security threats
- Failure to pay (enterprise accounts)
- Discontinuation of the Service
Upon termination, we will return or delete Customer Data according to customer agreement and retention policy.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
14. Dispute Resolution
Disputes will be resolved through binding arbitration under AAA rules, with no class actions permitted.
15. Changes to the Terms
We may modify these Terms at any time. Changes will be effective when posted.
